Setting up a Business in Spain

Hard to believe, we know, but some people prefer to build business empires, than to play at the beach!

Once you have your business idea, you´ll need someone to assist in setting up the relevant licences and registering a Spanish business in the appropriate offices such as Social Security and Treasury Department and to provide your staff with contracts of employment.

SOLE TRADER

The simplest way to run a business is to register as a sole trader, an autónomo. As a sole trader you can either trade in your own name or as a business name.  With the relevant documents, we can register your business within around 15 days of the papers being signed.

Self-Employed workers can also take on employees and so have the chance to expand their company once the business takes off.

As a sole trader you will be assessed for Spanish income tax. You are required by law to register and pay into the Spanish Social Security system, paying a basic contribution of each month. You will also have to register your activity with the tax office. Once established you file a quarterly income tax and IVA return. Also, if you pay rent and have employees, there are other obligations. Spanish Solutions can help with these.

PARTNERSHIP

Sometimes its easier to work with someone else who has the same interest and business ideas as you. If you are not alone in wanting to set up a small business, a partnership or Communidad de Bienes can be set up by two or more proprietors. The legal requirements are almost exactly the same as those for a sole trader with the exception that, whilst each proprietor will pay their own income tax and social security contribution, the business makes the IVA return.

SPANISH LIMITED COMPANY

There are also benefits to forming a Spanish company; a Sociedad Limitada, or buying a ready-made one. As the company is a legal entity, you may be protected should you fall victim to litigation. Also, the rates of corporation tax are lower than the highest rate of personal income tax and you may be able to offset more of your business costs against your profits if you run your business through a company, which could reduce your tax liability.

If you decide to start a Spanish Company you do need to open a company bank account and deposit a sum of initial share capital. You will also have fees of a notary and licences to pay. We can arrange this for you.

BUSINESS ACCOUNTS AND TAX REPRESENTATION

Spanish Tax Returns: once your business is up and running, you will need a Spanish accountant to deal with the invoicing and make your tax declaration. If you are setting up a Spanish business, you will have both the business and personal tax obligations, both of which our Costa Blanca accountancy office are trained in dealing with.
